Release. YOU ACKNOWLEDGE AND AGREE THAT THE RELEASE SET FORTH HEREIN IS A GENERAL RELEASE AND IS INTENDED TO BE THE BROADEST RELEASE ALLOWED BY LAW.

Indemnification. You agree to provide Sirius with assistance, without charge, that Sirius may request in connection with any defense, including, without limitation, providing Sirius with information, documents, records, and reasonable access as Sirius deems necessary. Binding Effect. These Terms are binding upon you and your successors and assigns.

Entire Agreement. These Terms, the Disclaimer, the Privacy Policy, and the documents incorporated herein constitute the entire agreement between you and Sirius regarding the Website and supersede and replace all other written and verbal discussions, negotiations, communications, assurances, promises, representations, and agreements previously or contemporaneously made or existing, by and between you and Sirius, regarding the Website.

Venue, Jurisdiction, Applicable Law, and Attorney Fees. These Terms, the Disclaimer, the Privacy Policy, and the documents incorporated herein are made in accordance with and shall be interpreted and governed by the laws of the State of Idaho, without regard to its conflicts of law provisions. If any action or other proceeding shall be brought on or in connection with these Terms or the documents incorporated herein, the venue of such action shall be in the state court in Nez Perce County, ID. You agree to the exclusive personal and subject matter jurisdiction of such forum. You hereby waive any objection to such forum. In the event any action is brought to enforce or construe these Terms, the Disclaimer, the Privacy Policy, or the documents incorporated herein, the prevailing party shall be entitled to recover, in addition to the costs and disbursements provided by law, reasonable attorney fees.

Construction and Interpretation. The headings or titles to the paragraphs of these Terms, the Disclaimer, the Privacy Policy, and the documents incorporated herein are intended for ease of reference only and shall have no effect whatsoever on the construction or interpretation of any provision.

Waiver. No waiver of any provision of these Terms, the Disclaimer, the Privacy Policy, or the documents incorporated herein shall be binding on Sirius unless contained in a writing signed by Sirius. The provisions of this paragraph may not be waived, modified, or amended except as set forth herein.

Severability. If any provision of these Terms, the Disclaimer, the Privacy Policy, or the documents incorporated herein, or the application of any provision to any person or circumstance, shall be held invalid, then the remaining provisions of these Terms, the Disclaimer, the Privacy Policy and the documents incorporated herein, and the application of such provision to persons or circumstances other than those as to which it is held invalid, shall not be affected thereby and shall remain in full force and effect, and any such invalid provision shall be deemed modified to the minimum extent necessary to make such provision consistent with applicable law and, in its modified form such provision will be enforceable and enforced, all so long as the purpose or intent of such provision and these Terms, the Disclaimer, the Privacy Policy, and the documents incorporated herein are not undermined.

Survival. All terms, conditions, agreements, covenants, and obligations made by you in these Terms, the Disclaimer, the Privacy Policy, and the documents incorporated herein that are capable of being, or are to be, performed after termination of these Terms shall survive termination and remain binding upon you.
